These Terms of Service (the “Terms”) govern your access to and use of the website at prodocere.com (the “Site”), operated by Michael Chance d/b/a Prodocere (“Prodocere,” “we,” “us”). By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. The Site
The Site provides information about Prodocere and a way to download the Software and contact us. We may change, suspend, or discontinue any part of the Site at any time, and we aim to keep the information accurate but do not guarantee it is complete or current.
2. Intellectual property
The Site and its content, and the “Prodocere” name and logo, are owned by us or our licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive right to view the Site for its intended purpose. You may not copy, reproduce, or use our branding or content except as reasonably necessary to use the Site or as we permit in writing.
3. Acceptable use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- attempt to gain unauthorized access to the Site or its systems, or interfere with or disrupt its operation;
- scrape, harvest, or collect data from the Site by automated means in a way that burdens or harms it; or
- submit false information or another person’s information through the contact form without permission.
4. The Software
Downloads available through the Site are licensed, not sold, and your use of the Software is governed by the End User License Agreement and the Privacy Policy. Nothing in these Terms grants you any rights in the Software beyond those in the EULA.
5. Third-party links
The Site may link to third-party websites and services that we do not control. We are not responsible for their content, policies, or practices, and accessing them is at your own risk.
6. Disclaimer
The Site is provided “as is” and “as available,” without warranty of any kind, to the maximum extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and we do not warrant that the Site will be uninterrupted, secure, or error-free.
7. Limitation of liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits or data, arising out of or related to your use of the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars ($100).
8. Indemnification
You will indemnify and hold us harmless from claims and expenses arising out of your use of the Site in violation of these Terms or applicable law.
9. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute relating to the Site is the state and federal courts located in the State of Texas, and you consent to their jurisdiction.
10. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after a change means you accept the updated Terms.
